1. Acceptance of Terms

By accessing our website or using our services, including but not limited to website design, software development, mobile app development, API integrations, website auditing, search engine optimization (SEO), and digital marketing, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Services Provided

Amigo Hub offers professional digital marketing and software development services tailored to your business needs. These include:

  • Website Design and Maintenance
  • Software and Mobile App Development
  • API Integrations
  • Website Auditing
  • Search Engine Optimization (SEO)
  • Digital Marketing

3. Client Responsibilities

To ensure timely delivery, Amigo Hub requires clients to provide accurate and complete information, content, and materials necessary for the completion of services. You agree to:

  • Provide all required content (e.g., text, images, branding materials) in a timely manner.
  • Ensure all provided materials do not infringe on third-party rights.
  • Respond promptly to requests for feedback or approvals to avoid project delays.

4. Payment and Pricing

  • All payments are non-refundable unless otherwise agreed in writing.
  • Pricing is based on the scope of work outlined in the project agreement. Additional services or changes to the scope may incur extra costs.
  • Payments are due as per the agreed schedule. Late payments may result in project delays or suspension of services.
  • For services initiated prior to a client's deposit commitment, due to our remote working setup, full payment must be made within five (5) days from the date of completion. Failure to make payment within this period will result in termination of the services provided.
  • All third-party charges (e.g., hosting, domain registration) are your responsibility unless specified otherwise.

5. Website Hosting Terms for Promotional Packages

  • Clients whose website design services are offered under promotional packages will have their websites hosted on shared hosting accounts owned by Amigo Hub.
  • These clients will not be provided with independent cPanel access. However, Amigo Hub will grant access to their WordPress Admin dashboard and/or FTP accounts, where applicable.
  • If a client chooses to seek services from another provider or to self-manage their domain, Amigo Hub will not be held responsible for any subsequent activities related to the domain. In such cases, full ownership of the domain will be transferred to the client.
  • Should a client request a backup of their existing website files, a fee of Ksh. 5,800 will apply. If not requested, the files will be permanently deleted from our servers within 7 days of the domain transfer.

6. Intellectual Property

  • Any work created by Amigo Hub (e.g., websites, software, designs) remains our property until full payment is received. Upon final payment, ownership of deliverables is transferred to you, subject to any third-party licensing restrictions.
  • You grant Amigo Hub a non-exclusive, royalty-free license to use your brand, logo, or project details in our portfolio or marketing materials unless otherwise agreed.

7. Confidentiality

Amigo Hub will treat all client information as confidential and will not disclose it to third parties except as required by law or with your consent. You agree to keep any proprietary information shared by Amigo Hub confidential.

8. Limitation of Liability

Amigo Hub is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount paid for the services. We are not responsible for third-party services, platforms, or tools used in conjunction with our services.

9. Termination

  • Either party may terminate the agreement with written notice if the other party breaches these Terms.
  • Upon termination, you remain responsible for payment for services rendered up to the termination date.
  • We reserve the right to suspend services if payments are not made as agreed.

10. Changes to Services or Terms

We may update these Terms or modify our services at any time. Changes will be communicated via email or by posting on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Kenya. Any disputes will be resolved in the courts of Nairobi, Kenya.
